Our confidentiality agreement
We have developed a two-tier confidentiality model that reflects the particular nature of the One-Supplier Model:
Tier 1: Customer ↔ MIM Experts
Full confidentiality agreement covering:
- Technical specifications, drawings, STEP files, prototypes
- Commercial data (prices, quantities, purchase commitments)
- Product applications and end-customer context
- Internal process and development data
Tier 2: MIM Experts ↔ network plant
Limited to the technical data strictly required to prepare production:
- Component geometry and tolerances
- Material specification
- Process requirements (heat treatment, HIP, passivation and the like)
- Inspection criteria and quality targets
What is not passed on: end-customer names, product application, commercial framework data, the wider context.
Terms
- Term: 10 years from signature or from the end of the business relationship, whichever is later.
- Data sovereignty: All customer data remains on European servers. No transfer to third countries.
- Return obligation: On termination, all documents must be returned or — at the customer’s discretion — destroyed with evidence of destruction.
- Governing law: German law, place of jurisdiction Essen.
- Contractual penalty: An appropriate penalty applies in the event of a demonstrable culpable breach. The amount is agreed individually.
Requesting the standard document
We provide our standard NDA template (German/English) as a PDF on request. It is drafted so that in more than 90 per cent of cases it is ready for signature without amendment. If your company uses its own standard agreements, we negotiate on the basis of your document.
